TERMS & CONDITIONS
1. COMPANY INFORMATION
Wild and Free Gifts Ltd is a UK wholesale supplier of giftware products.
Wild & Free is a registered trade mark of Wild and Free Gifts Ltd.
2. TRADE ACCOUNTS
All sales are strictly business-to-business (B2B) and available to approved trade customers only.
We reserve the right to approve, refuse, suspend or terminate any trade account at our discretion.
3. MINIMUM ORDER VALUE
There is no minimum order value unless otherwise agreed in writing.
4. PRICING
All prices are shown excluding VAT and delivery charges unless otherwise stated.
Prices, product specifications and availability are subject to change without prior notice.
5. DELIVERY
Delivery charges are calculated based on order size, weight and destination.
Delivery charges will be confirmed prior to dispatch and included on the final invoice.
Delivery dates are estimates only and time shall not be of the essence.
Wild and Free Gifts Ltd shall not be liable for delays caused by couriers, suppliers, weather events or circumstances beyond our reasonable control.
Risk in the goods shall pass to the customer upon delivery.
6. PAYMENT TERMS
Approved trade accounts may be eligible for 30-day credit terms, subject to application and credit approval.
Wild and Free Gifts Ltd reserves the right to withdraw, amend or reduce credit facilities or credit limits at any time without notice.
Payment must be made in full by the due date stated on the invoice.
We reserve the right to suspend further deliveries where any invoice remains overdue.
Interest may be charged on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at a rate of 8% above the Bank of England base rate, together with any applicable debt recovery costs.
7. RETENTION OF TITLE
Ownership of all goods supplied by Wild and Free Gifts Ltd shall remain with Wild and Free Gifts Ltd until payment in full has been received for all goods supplied under any contract or account.
Until ownership passes, the customer shall:

store the goods separately and clearly identifiable as the property of Wild and Free Gifts Ltd;

keep the goods in satisfactory condition;

not pledge or charge the goods as security for any indebtedness.
If payment becomes overdue, or the customer becomes insolvent, Wild and Free Gifts Ltd reserves the right to enter any premises where the goods are stored in order to recover them.
8. ORDER ACCEPTANCE
All orders are subject to acceptance and availability.
We reserve the right to cancel, refuse or amend orders where necessary.
9. DAMAGES & SHORTAGES
All goods must be inspected upon delivery.
Any damages or shortages must be reported within 48 hours of delivery.
Claims must include photographic evidence.
We will assess and offer a replacement, credit or refund where appropriate.
We cannot accept claims reported outside of this timeframe.
10. RETURNS
As a wholesale supplier, we do not accept returns for unwanted goods.
Returns will only be accepted for:

damaged items;
-
faulty products; or
-
goods supplied incorrectly by Wild and Free Gifts Ltd.
All returns must be authorised in advance.
Unauthorised returns may be refused.
11. PRODUCT INFORMATION
All products are supplied for resale purposes.
Retailers are responsible for ensuring products are suitable for their customers and comply with local regulations.
Due to the nature of photography, screen displays and handmade finishes, colours, textures and sizes may vary slightly from images shown.
12. INTELLECTUAL PROPERTY
All content, product designs, images, logos and branding remain the property of Wild and Free Gifts Ltd.
Wild & Free is a registered trade mark of Wild and Free Gifts Ltd and may not be used without prior written permission.
Product images and branding may not be used on third-party marketplaces including Amazon, eBay, Temu or Etsy without prior written consent.
13. LIMITATION OF LIABILITY
Wild and Free Gifts Ltd shall not be liable for any indirect, consequential or economic loss arising from the use, resale or supply of our products.
Our total liability shall not exceed the invoice value of the goods supplied.
Nothing in these terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or any other liability which cannot legally be excluded under English law.
14. FORCE MAJEURE
Wild and Free Gifts Ltd shall not be liable for failure or delay in performing obligations where such failure or delay results from events beyond our reasonable control, including but not limited to strikes, transport disruption, supplier shortages, natural disasters, pandemics or government restrictions.
15. GOVERNING LAW
These terms and conditions are governed by the laws of England and Wales.
Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
